The Federal Reserve bank of St. Louis Economic Data Add-In (FRED Add-In), and any updates thereto (the "Software") is licensed, not sold to You by the Federal Reserve Bank of St. Louis ("Bank") for use only under the terms of this license. By using the Software, You consent to the terms of this license. If You do not consent to the terms of this license, do not use the Software.

1. License

Bank grants You a non-exclusive, non-transferable license to use the Software on any computer that You own or control, subject to the restrictions and requirements of this license.

2. Restriction

You may not:

1. Distribute, rent, lease, lend, sell, redistribute or sublicense the Software or make the Software available for download over a network without prior written permission from Bank;
2. Modify, create derivative works of, reverse engineer, decompile or disassemble the Software or any portion of it; or
3. Use or export the Software except as authorized by United States law. In particular, but without limitation, the Software may not be exported or re-exported (a) into any U.S. embargoed countries or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person’s List or Entity List. By using the Software, You represent and warrant that You are not located in any such country or on any such list. You also agree that You will not use these products for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture or production of nuclear, missiles, or chemical or biological weapons.

Any attempt to do so is a violation of the rights of Bank and any breach of these restrictions may subject You to prosecution and damages.

3. Property Rights

The Software and all intellectual property rights in and to the Software are and shall at all times remain the sole and exclusive property of the Bank and are protected by applicable intellectual property laws and treaties. This license grants You no right, title, or interest in any intellectual property owned or licensed by Bank, including (but not limited to) the FRED® and ALFRED® trademarks. All rights not expressly granted to You are reserved by Bank.

You understand and agree that data series available through FRED®, ALFRED® , or other services provided by Bank, may be owned by third parties and subject to copyright restrictions. Neither the Bank’s provision of the Software to You nor Your use of the Software override the data series owners' copyrights, requirements and restrictions. You are solely responsible for complying with any requirements or restrictions imposed on usage of the data series by their respective owners. Before using data series owned by third parties for anything other than Your own personal use, You must contact the data owner to obtain permission. Bank cannot give You such permission and making the data series available does not constitute such permission.

4. DISCLAIMER AND LIMITATION OF LIABILITY

THE SOFTWARE IS PROVIDED AS IS, AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND BANK DISCLAIMS ANY AND ALL REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO THE SOFTWARE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF SATISFACTORY QUALITY, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NON-INFRINGEMENT OF THIRD PARTY RIGHTS. BANK DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN, OR SERVICES PERFORMED OR PROVIDED BY, THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED.YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SOFTWARE IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU.

BANK SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGE, WHETHER BASED ON CONTRACT OR TORT OR ANY OTHER LEGAL THEORY, ARISING OUT OF ANY USE OF SOFTWARE OR ANY PERFORMANCE OF THIS AGREEMENT, EVEN IF BANK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5. Termination

This license is effective until terminated by You or Bank. This license will terminate automatically without notice from Bank if You fail to comply with any term of this license. Upon termination of the license, You shall cease all use of the Software, and destroy all copies, full or partial, of the Software.

6. General Provisions

(a) The Software and related documentation are "Commercial Items", as that term is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation", as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein. Unpublished-rights reserved under the copyright laws of the United States.

(b) Governing Law: This license shall be governed in accordance with federal law, and, in the absence of applicable federal law, by the laws of the State of Missouri. Your use of the Software may also be subject to other local, state, national or international laws.

(c) Jurisdiction: The parties consent to the exclusive jurisdiction and venue of the federal courts located in the Eastern District of Missouri in any action arising out of or relating to this license. The parties waive any other venue to which either party might be entitled by domicile or otherwise.
